TempDash Worker Terms and Conditions
Version 1.6.1. Effective Date: 20 October 2026 Operated by TempDash Ltd, Company No. 17264372, registered in England & Wales. TempDash is a trading name of TempDash Ltd, a company registered in England and Wales. Registered office: 124 City Rd, London EC1V 2NX. ICO Registration: ZC159507. Contact: support@tempdash.app.
IMPORTANT. These Terms form a legally binding contract between you (the "Worker", "you") and TempDash Ltd ("TempDash", "we", "us"). By creating a Worker account, accepting a shift, or otherwise using the App, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the App. You are not an employee, agency worker, or worker (within the meaning of section 230 of the Employment Rights Act 1996) of TempDash. You provide your services as an independent self-employed contractor to the dental business that books you for a shift (the "Workplace").
1. About TempDash
1.1. TempDash is a software platform and introductory marketplace that connects independent dental professionals with dental Workplaces (the "App"). The App allows self-employed dental professionals to find and book temporary clinical or administrative shifts at UK dental Workplaces.
1.2. TempDash is not: (a) an employment agency or employment business within the meaning of the Employment Agencies Act 1973; (b) a clinical provider; (c) a healthcare service registered with the Care Quality Commission; or (d) a party to the contract for services between you and the Workplace.
1.3. TempDash provides only the technology that makes introductions, booking, clock in and clock out, ratings, messaging and payment possible, with payments handled by our payment services provider. We do not direct, control, or supervise the way you carry out clinical work.
2. Eligibility and Onboarding
2.1. To use TempDash as a Worker you must, at minimum:
- be aged 18 or over;
- hold current registration with the General Dental Council (GDC) where required for your role;
- hold the legal right to work in the United Kingdom;
- hold and maintain a valid clinical indemnity or professional liability policy at all times while you use the App, at a level suitable for the work you do (see clause 8);
- hold a current and valid DBS (or equivalent) certificate where required for your role;
- hold up to date Hepatitis B immunity records and any other vaccinations required for the work you do;
- give TempDash honest, complete and accurate information.
2.2. Identity and right to work checks. You agree to complete identity, facial and right to work checks through our identity verification provider, and GDC registration checks against the General Dental Council register. Submitting forged, altered, or impersonated documents is a material breach of these Terms and may be a criminal offence, which we may report to the relevant authorities. You consent to that check when you start it. We keep a copy of your identity details and of the facial image captured during the check, which we must keep as right to work evidence, for the period set out in the Worker Privacy Policy (clause 9).
2.3. We may refuse, defer, suspend, or revoke verification at our discretion.
2.4. DBS certificates. Where your role requires a DBS certificate, you upload it in the App and we check it during onboarding, before you can book shifts that need it. Workplaces do not carry out their own document check when you arrive. You must keep your certificate up to date and tell us if anything on it changes.
2.5. Identifying information shown to the Workplace. So that a Workplace can satisfy itself that the person attending a shift is the person who was verified and booked, and to deter and detect identity fraud on the platform, you agree that we may make available to a Workplace holding a confirmed booking for you: your name, your professional role, your GDC (or other applicable) registration number, the status of your right to work and compliance checks, and your profile photograph with whether it is matched to your ID (clause 2.6). That information is made available only to a Workplace with a confirmed booking for you, only through your TempDash ID, and only for the purposes stated in this clause. The facial image from your identity check is never shown to a Workplace. What we collect, why we may lawfully do so, and how long we keep it are set out in the Worker Privacy Policy (clauses 3.2a, 3.2b, 5, 7 and 9).
2.6. Matching your profile photo to your ID. Confirming who you are is a requirement for working through the App. When you add or change your profile photograph, with your consent, we compare it with the facial image captured during your identity check to confirm that the photograph is of you, and we may refuse a photograph that does not match. The comparison is made by automated means, by us or by a service provider acting on our instructions in the UK. How it works, your consent and how to withdraw it, and how long we keep the record are set out in the Worker Privacy Policy (clauses 3.2b, 5.1 and 9).
2.7. Resetting your wallet PIN with a video check. If you forget your wallet PIN, you may choose to prove it is you by recording a short video of your face in the App. We check that the video shows a live person, then compare a still image from it with the facial image captured during your identity check (clause 2.2). If they match, you can set a new PIN. The check is made by automated means, by a service provider acting on our instructions in Ireland and the UK. We keep a record of each attempt and its outcome, never the video or any image. The check is optional: you can instead reset your PIN with Face ID or your fingerprint on a phone you already use with your account, or through our support team in the App, and a failed check never closes or locks your account. How it works, your consent and how to withdraw it, and how long we keep the record are set out in the Worker Privacy Policy (clauses 3.2c, 5.1 and 9).
3. Status: No Employment, No Mutuality of Obligation
3.1. Independent contractor status. Nothing in these Terms creates a contract of service, contract of employment, partnership, joint venture, or agency relationship between you and TempDash.
3.2. No Mutuality of Obligation. TempDash is under no obligation to offer you any shift, work, or income, and you are under no obligation to accept any shift. You are free at all times to ignore, decline, or counter any shift offer, and to provide services to other platforms, agencies or Workplaces, including those in direct competition with TempDash.
3.3. No control. TempDash does not direct, control, or supervise the way you carry out clinical work. The Workplace is solely responsible for site supervision, clinical governance, infection control and workplace conduct.
3.4. Right of substitution. You may arrange for another suitably qualified person to carry out a shift you have accepted, in your place. You choose the substitute. TempDash does not choose one for you. Using the substitution feature in the App you may offer a shift to one named person, to several people, or more widely, and the first person you offered it to who accepts takes the shift on at your agreed rate. Any substitute must hold the registrations, qualifications and documents that the shift requires, and must pass the same checks as anyone booking it. Once someone accepts, the shift is theirs and the transfer is final. While your offer is open you cannot take it back. When you make the offer you choose what happens if nobody accepts: either the shift stays yours and you remain responsible for working it, with no penalty, or it is cancelled for you, in which case it counts as a cancellation by you under clause 4.8. For a shift starting very soon (the App tells you when this applies) the second option applies automatically. Although the App is designed for personal acceptance of shifts, your relationship with TempDash is genuinely one of self employment for the purposes of HMRC's IR35 and off-payroll working rules. You acknowledge that no part of these Terms is intended to disguise an employment relationship.
3.5. No employment rights. You are not entitled to: (a) holiday pay, sick pay, statutory or contractual notice; (b) auto enrolment pension contributions from TempDash; (c) redundancy, unfair dismissal or whistleblowing rights against TempDash; (d) National Minimum or Living Wage protections from TempDash. Your remedies in connection with any individual shift lie against the Workplace, not TempDash.
3.6. You agree that, if a tribunal, court, or HMRC determination reclassifies you as a worker or employee of TempDash, you will indemnify TempDash for any tax, NIC, penalty or interest properly attributable to that reclassification, save where caused by TempDash's own negligence or wilful default.
4. Finding Shifts and the Shift Lifecycle
4.1. How shifts reach you. The App shows you shifts in a feed ordered for you, using factors such as your role, skills and languages, distance, how soon the shift starts, and the shifts you have shown interest in before. A Workplace may also offer a shift to you directly. Your ratings and reliability record do not decide the order of your feed, but the reliability rules in clause 11 can pause you from picking up shifts. The detailed workings of the feed are TempDash's confidential information.
4.2. The rate. Each Workplace sets a rate range for its shift. The hourly rate shown to you can change within that range until the shift is booked. The rate shown to you when you accept is your agreed rate for that shift and does not change afterwards. It is the amount you are paid per hour before your own tax; TempDash's fee is charged to the Workplace, not taken from it (clause 10.3).
4.3. Acceptance is binding. Once you accept a shift you are contracting directly with the Workplace to perform it. Cancelling an accepted shift, or failing to attend without lawful excuse (a "no show"), can have reliability consequences under clauses 4.8, 4.9 and 11.
4.3A. When a Workplace cancels late. If a Workplace cancels a shift you have accepted 48 hours or less before it is due to start, and more than 30 minutes after you accepted it, you are paid for six (6) hours at your agreed rate, or for the whole shift where it is shorter than six hours, for the time you set aside. The amount is shown in the App. It reaches your wallet like your other earnings, once the Workplace's payment has been collected. A cancellation with more notice than that carries no payment to you. This payment does not create employment with the Workplace or TempDash, and it is not a guarantee of work.
4.3B. The confirming window. For a short time after you accept a shift (shown in the App, and always closing before the shift starts) you can undo your acceptance free of charge and with no reliability consequence. During the same window, and for a short time after you are booked, the Workplace may release the booking without charge, in which case the shift is offered to others and no payment is due to you.
4.4. No guaranteed work or income. The volume, frequency, value and existence of shifts vary entirely with Workplace demand. TempDash makes no representation that you will receive any shifts at all.
4.5. Clocking in and out, and your location. You clock in and out in the App. You can clock in from 30 minutes before the booked start. When you clock in and when you clock out, the App records your location once, if you have allowed it, and checks whether you are within about 250 metres of the Workplace. You can always clock in, including with location off or unavailable, or when you are outside that distance, in which case the App asks whether you are on site and you can choose "Clock in anyway". Your booked hours are approved as soon as you clock out only when your clock in was confirmed by location within that distance. Otherwise (location off or unavailable, outside the distance, or "Clock in anyway") your hours are still approved when you clock out, and your pay is held for a short review period as set out in clause 10.2A. If you set a start time earlier than when you tapped clock in, the Workplace confirms your hours before they are paid, and if it has not answered within 24 hours TempDash reviews them. Your location is used to confirm attendance and to resolve questions about hours and payments, and is not displayed to the Workplace; the Privacy Policy explains what is recorded, who can see it and how long it is kept. If you clock in but forget to clock out, we will remind you and, 24 hours after the booked end, submit your booked hours for you automatically, which are then approved or confirmed in the same way. We never do this for a shift you did not clock in to; clause 4.9 explains what happens then.
4.6. Finishing early. If you finish within 15 minutes of the booked end, you are paid as if you worked to the booked end. If you finish more than 15 minutes early, you are paid for the hours you worked, and the Workplace says why when it confirms your hours:
- If the Workplace ended the shift, whether in its app or by giving that reason, you are paid for the hours you worked or for six (6) hours, whichever is more, and never more than the booked shift. Where the booked shift is shorter than six hours, that means the whole booked shift. If the Workplace does not answer within 24 hours, this applies.
- If the Workplace says you worked fewer hours than booked for another reason, you are paid for the hours you worked. If that is not right, tap Something wrong? on the shift within 72 hours. The amount in question stays held until TempDash decides it (clause 14.3).
4.7. Overtime. Time you work past the booked end is overtime. It needs the Workplace's approval and is paid separately from the booked hours, at your agreed rate. We remind the Workplace to answer. If it has not answered 72 hours after the shift, overtime of up to 2 hours and up to £150 is approved automatically; anything larger is reviewed by TempDash before it is paid. You can claim overtime you did not record at clock out within 7 days of the shift.
4.8. Cancelling a shift you accepted. You may cancel a booked shift in the App. Outside the confirming window (clause 4.3B) a cancellation adds reliability strikes according to how much notice you give: 48 hours or more, none; 12 to 48 hours, one strike; under 12 hours, two strikes. If you tell us through the App's "I can't make it" option before you clock in, no strike is added. TempDash never charges you money for cancelling. What strikes lead to is set out in clause 11.1A.
4.9. Missed shifts and no shows. If you have not clocked in an hour after the booked start, and we or the Workplace have asked you in the App where you are, the Workplace can cancel the booking as a no show, and may offer the shift to someone else. If you have still not clocked in by the booked end, the shift is cancelled as missed automatically. Either way it counts as a no show under clause 11.1A, and the Workplace's money for the shift is held until 72 hours after the booked end. If you did work the shift (for example you forgot to clock in, or your phone failed), tap Something wrong? on the shift to chat with our support team, who can send you a link to claim the hours you worked. Hours can be claimed only within 72 hours of the booked end. The Workplace then approves or queries them. If it approves them, you are paid for them, from the held money where it is still held, and the no show is removed from your record. If it queries them, or has not answered within 24 hours, TempDash reviews the shift and decides whether you are paid (clause 14.3), and the money stays held until then. Once the 72 hours have passed without a claim, claims are closed, you are not paid for that shift, and the Workplace's money is returned to it. Claiming hours you did not work is a false clock time under clause 11.1.
5. Your Obligations
5.1. You agree to:
- provide clinical and other services with the reasonable skill, care and diligence expected of a competent registered dental professional, in line with GDC Standards for the Dental Team and all applicable laws and regulations;
- comply with the Workplace's lawful site rules, infection control protocols, dress code, and clinical governance policies during the shift;
- keep your profile, qualifications, registration status, indemnity, DBS and immunisation records accurate and up to date at all times;
- not misrepresent your qualifications, experience or the work you are competent to do;
- clock in and out honestly, and record the hours you actually worked;
- treat patients, Workplace staff, TempDash personnel, and other Workers with courtesy and respect;
- not use the App to harass, defraud, defame or discriminate against any person.
5.2. You agree not to:
- accept shifts you are not professionally competent or registered to perform;
- attend a shift while under the influence of alcohol or unlawful drugs, or while otherwise unfit to practise;
- impersonate any other person or allow any other person to use your account;
- reverse engineer, scrape, decompile, or interfere with the App;
- submit false clock times, false reviews, fake disputes, or manipulated documents;
- attempt to bypass identity verification, location services, or payment routing.
5.3. Messages in the App. Messages between you and a Workplace may be read by TempDash, for example to resolve a dispute or keep bookings safe. Phone numbers, email addresses and other contact details are removed from messages automatically, and messages asking you to arrange work outside the App are not delivered. Messages you send may be checked by automated systems for these purposes. The Privacy Policy explains how this works.
6. Anti Circumvention
6.1. TempDash invests significant resources in matching Workers and Workplaces. For a period of twelve (12) months following any introduction made through the App, you agree not to:
- accept work, directly or indirectly, from a Workplace you were first introduced to through TempDash, other than through the App; or
- solicit, encourage or assist a Workplace to engage you (or any associate) outside the App.
6.2. Breach of clause 6.1 is a serious breach of these Terms. TempDash does not charge you, as a work seeker, any fee for taking up or continuing work. Any introduction fee for an off platform engagement is paid by the Workplace under the terms we agree with Workplaces, not by you. TempDash may suspend or permanently close your account for any breach of clause 6.1, at its discretion (any fees already earned for completed shifts remain payable to you).
6.3. Reporting another party's attempted circumvention in good faith does not breach these Terms and may earn the reporting Worker a goodwill credit at our discretion.
7. Tax, National Insurance and Self Employment
7.1. As a self employed contractor, you alone are responsible for:
- registering with HMRC for Self Assessment;
- calculating, declaring and paying all Income Tax, Class 2 and Class 4 National Insurance contributions, VAT (if applicable) and any other taxes arising from your earnings;
- keeping proper books and records as required by HMRC;
- IR35 and off payroll working compliance where you provide services through a personal services company.
7.2. TempDash does not operate PAYE on your earnings, does not deduct tax or NIC at source, and does not make employer NIC or pension contributions. Sums paid to you through the App are gross of all taxes.
7.3. Invoices and statements. When a shift is paid, TempDash issues an invoice to the Workplace in your name, for your pay for that shift, on your behalf. You authorise us to do this. We email you a copy of each invoice (you can turn this off in the App), and earnings statements are available in the App. You are solely responsible for relying on those records in your tax filings.
7.4. You agree to indemnify TempDash on demand against any tax, NIC, interest, penalty or professional cost we incur as a result of your failure to comply with this clause 7.
7.5. Digital platform reporting to HMRC. TempDash is a "reporting platform operator" under the Platform Operators (Due Diligence and Reporting Requirements) Regulations 2023 (SI 2023/817), which came into force on 1 January 2024 and implement the OECD Model Reporting Rules for Digital Platforms. To meet that legal obligation we are required to collect, verify and report certain information about you to HM Revenue & Customs once each calendar year, including your name, date of birth, registered address, National Insurance number (as your UK Taxpayer Identification Number) and the total paid or credited to you through the App. You agree to provide this information and to keep it accurate and up to date. Identity verification supporting this reporting is carried out securely on our behalf by our identity verification and payment services providers. We share this data only with HMRC as required by law; we do not sell it. This processing is necessary for compliance with a legal obligation to which TempDash is subject (UK GDPR Article 6(1)(c)) and is described further in our Privacy Policy. Collecting this information does not change your self employed status under clause 3.
8. Insurance: Indemnity and Public Liability
8.1. Mandatory clinical indemnity. You must hold, at your own cost, continuous indemnity cover for the whole time you use the App, sufficient for the work you do and meeting the GDC's indemnity requirements, with a recognised UK indemnifier (for example Dental Protection, MDDUS, DDU, BDA Indemnity, or an equivalent commercial insurer).
8.2. You must produce evidence of cover on request and tell TempDash promptly if your cover lapses, is cancelled, or is materially changed.
8.3. Liability for claims. Any claim for clinical negligence, malpractice, breach of duty of care, or personal injury arising out of a shift is your responsibility (and/or that of the Workplace). TempDash is not your insurer and accepts no responsibility for the conduct or outcome of clinical treatment.
8.4. TempDash maintains its own technology business insurance for the operation of the App; this does not extend to your professional acts or omissions.
9. Liability: TempDash's Position
9.1. TempDash's role is technological. We provide software that introduces Workers to Workplaces. We do not provide dental services, clinical advice, employment, or workplace management.
9.2. Subject to clause 9.4, TempDash accepts no liability to you for:
- clinical negligence, malpractice, or any loss arising from a Worker's or Workplace's clinical conduct;
- workplace accidents, injuries or illness occurring at or in connection with a Workplace's site;
- disputes between you and a Workplace (including fees, conduct, hours, equipment, supervision, or premises), except for TempDash's own decisions under clause 14.3;
- the cancellation of a shift by a Workplace (other than the late cancellation payment in clause 4.3A);
- the accuracy of information about a Workplace provided to us by that Workplace;
- loss of profit, loss of opportunity, loss of reputation, loss of data, indirect or consequential loss.
9.3. Aggregate liability cap. Subject to clause 9.4, TempDash's total aggregate liability to you under or in connection with these Terms in any twelve (12) month period shall not exceed the greater of (i) the total fees actually paid by you to TempDash in that period (for example withdrawal fees), or (ii) £500.
9.4. Unlimited heads. Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot lawfully be excluded under English law (including under the Consumer Rights Act 2015 where it applies).
10. Payments, Fees and Recoverable Balances
10.1. Payment processing by Stripe. Payment processing services for Workers on TempDash are provided by Stripe Payments Europe, Limited and its affiliates ("Stripe") and are subject to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal), which includes the Stripe Services Agreement (https://stripe.com/legal/ssa). By agreeing to these Terms, and by onboarding and maintaining a Stripe Connect account, you agree to be bound by the Stripe Services Agreement as amended by Stripe from time to time, and you acknowledge Stripe's Privacy Policy (https://stripe.com/privacy) and, where applicable, Stripe's acquirer disclosure (https://stripe.com/legal/acquirer-disclosure). Completing and maintaining Stripe onboarding (including identity checks) is a condition of receiving payment; failure to do so will prevent payouts.
10.2. Payment is from the Workplace; TempDash as commercial agent. By accepting a shift you authorise TempDash to act as your commercial agent for the limited purpose of receiving the shift fee from the Workplace on your behalf and instructing our payment services provider to settle it to you, less any sums due under these Terms. Receipt of those funds by our payment services provider (or by TempDash as your commercial agent) discharges the Workplace's payment obligation to you. TempDash does not hold client money in a way that implies employment, custody, or fiduciary holding outside of that commercial agent function. Sums paid to you are gross of all taxes (clause 7).
10.2A. When your pay clears. Where your clock in was confirmed by location, your booked hours are approved as soon as you clock out (or when they are submitted for you under clause 4.5); otherwise they are also approved when you clock out, but your pay is held for 48 hours (or any other period shown in the App) so the Workplace can tell us if something was wrong. If it does, your pay stays held until TempDash decides (clause 4.9); if it does not, your pay is released automatically. Once your hours are approved, your wallet shows the pay you are expecting. When it becomes available to withdraw depends on how the Workplace pays for the shift. If the Workplace paid in advance or from its TempDash balance, your pay usually clears within about 30 minutes to 2 hours. Otherwise it clears when the Workplace's payment reaches us: for a card payment, on the date our payment services provider makes it available; for a Direct Debit, after the next Monday collection plus about 4 working days. On this standard route your pay always takes at least 1 working day. In some cases, for example your first payment, our payment services provider may make a payment available later than usual, and your pay then clears on that later date. The App shows you the expected date. There is no fixed hold on a new account.
10.2B. Early pay (shown in the App as "FastPay"). For some shifts, TempDash may offer to pay you soon after the shift ends from its own funds, before the Workplace's payment reaches us. Early pay is subject to availability. When it applies, the App tells you when you book the shift or afterwards, and once confirmed it is held for that shift. Early pay costs you nothing and is separate from the instant withdrawal in clause 10.4. You lose access to early pay for 60 days if a dispute is decided against you (clause 14.3). Early pay only changes when you are paid, never whether or how much.
10.2C. How your pay is calculated. Your pay for a shift is your agreed hourly rate multiplied by the booked hours, subject to clause 4.6 (finishing early), clause 4.7 (overtime, paid separately), and any dispute decided under clause 14.3. Figures shown before a shift is completed are estimates.
10.3. TempDash's fee. TempDash charges its fee for each booking to the Workplace, not to you. It is not deducted from the rate shown to you, and you never see or pay the Workplace's total price. The only fees you pay TempDash are the withdrawal fees in clauses 10.4 and 10.4A. Any fee you pay is consideration for a service; it is not interest, a finance charge, or a charge for the provision of credit.
10.4. Instant withdrawal (shown in the App as "FastPay"). If you choose an instant withdrawal of your available earnings (typically reaching your bank in about thirty (30) minutes), a fee applies to that withdrawal, shown in the App before you confirm it. The fee is a percentage of the amount you withdraw plus a small fixed amount (at the date of these Terms, 2.99% + 99p; the current figures are always shown in the App and may be changed by us on notice). The instant withdrawal fee is the price of an optional instant payment service; it is not interest and does not represent the cost of borrowing.
10.4A. Standard withdrawal, and the free weekly payment. You do not have to use instant withdrawal. A standard withdrawal is always available and typically reaches your bank in one to two (1 to 2) working days. A standard withdrawal you ask for yourself carries a small fixed fee (at the date of these Terms, 99p per withdrawal; the current figure is always shown in the App before you confirm, and may be changed by us, including to nil, on notice). The free weekly payment is switched on for you unless you turn it off in the App: every Friday at 4pm UK time we send your available earnings to your bank free of charge, usually arriving the same day. It pays only money that has cleared, and it is skipped in a week when you owe a recoverable balance or your payouts are frozen. When you add a new bank account, it can receive payments only after a 24 hour security hold; your existing account keeps receiving payments in the meantime. No withdrawal fee is ever charged to recover a debt, and no fee will ever reduce a payment to nil.
10.5. No interest; not a credit agreement. TempDash does not charge you interest on any sum. Nothing in these Terms is, or is intended to be, a loan, credit agreement, hire purchase or other regulated credit facility, and no sum payable by you under these Terms represents interest or the cost of credit.
10.6. When a recoverable balance arises. If you were paid money you were not entitled to for one of the reasons below, the amount becomes a "recoverable balance" owed by you to TempDash:
- (a) a dispute decided against you: a Workplace disputed a shift after you were paid and TempDash upheld it (clause 14.3). Only the part that was disputed and upheld is recoverable, for example the time you did not work. If you did not attend at all, the whole amount paid for the shift is recoverable;
- (b) an agreed correction: you and the Workplace both confirmed that fewer hours were worked than you were paid for;
- (c) fraud or misrepresentation: money was obtained through false clock times, non attendance, or other misrepresentation; or
- (d) a compliance reversal: you were paid for a shift for which you were not in fact eligible or compliant.
TempDash absorbs its own mistakes and the Workplace's payment failures. If we pay you the wrong amount because of our error, or a Workplace's payment fails, is reversed, or is lost on a card chargeback, you do not owe us the money. The one exception is where you clearly received the same payment twice, or a payment plainly meant for someone else; we will tell you why if we ask for it back.
A recoverable balance is the recovery of an overpayment. It is not a loan or credit, and it carries no interest and no charges.
10.7. How recoverable balances are recovered. We recover a recoverable balance by deduction from your future earnings through the App. We take a set percentage of your net pay from each future shift: at the date of these Terms, 20%, or 25% where it is a repeat case (a new balance while you still owe an earlier one) or involves fraud. We may agree a different rate with you. Deductions repeat on each shift until the balance is cleared, and are shown in the App as a line item with the case they relate to. You can also pay off all or part of the balance at any time by card or bank payment through the App. While you owe a recoverable balance you cannot withdraw your earnings, and the free weekly payment is paused. We will never debit your bank account or card to recover a recoverable balance, and we will never reduce a payout to nil. If a balance was raised because of our mistake or the Workplace's payment failure, or the dispute behind it is later decided in your favour, you can ask in the App to have it cleared and anything already taken returned. If no future earnings arise, the recoverable balance remains a debt due from you to TempDash, and closing your account does not clear it.
10.8. Hardship. If recovery at the standard rate would cause you genuine hardship, you can ask in the App for a lower rate, down to 10% of each shift's net pay. We will consider reasonable requests, but recovery continues until the balance is cleared.
10.9. Statements. TempDash makes earnings, fee and recoverable balance information available in the App for your own records (clause 7.3).
10.10. Partner offers. The Wallet may show offers from third party financial providers, such as a bonus for switching bank account. An offer is information about another company's product, not advice or a recommendation from TempDash, and any product you take up is between you and that provider on their terms. TempDash may be paid by the provider if you take up an offer. The offers you see may be chosen using the bank your payout account is with. You can switch that personalisation off at any time in the App's privacy settings, and you will then see only general offers (see our Privacy Policy, clause 5.2).
11. Reliability, Suspension and Termination
11.1. Behaviour that may result in warnings, strikes, pauses, suspension, or removal includes, without limitation:
- no shows or late cancellations;
- repeated low ratings or substantiated complaints;
- clinical, safeguarding or fitness to practise concerns;
- false clock times, fake reviews or false disputes;
- attempted circumvention (clause 6);
- abuse of TempDash staff, Workplaces, or other Workers;
- lapse of GDC registration, indemnity, right to work, or DBS where required.
11.1A. Reliability rules. Strikes from cancellations (clause 4.8) count over a rolling 30 days. 3 strikes pause you from picking up new shifts for 24 hours, 4 strikes for 48 hours, and 5 or more until TempDash reviews your account. Every 5 shifts you complete in a row without a cancellation removes one strike. No shows (clause 4.9) count over a rolling 180 days: the first is a warning, the second pauses you for 7 days, the third for 30 days, and a fourth leads to a review of your account. During a pause you keep the shifts you have already booked. These rules carry no money penalty.
11.2. We may suspend your account immediately and without prior notice where we reasonably suspect fraud, safeguarding risk, regulatory breach, or material breach of these Terms. Where a dispute is decided against you more than once, or involves fraud, we may also freeze your payouts while we review your account.
11.3. Termination by either party. You may close your account at any time through the App. We may terminate your account on seven (7) days' notice for convenience, or immediately for material breach.
11.4. Termination does not affect: (a) accrued rights to payment; (b) any recoverable balance you owe, which remains payable after termination; (c) clauses intended to survive (including 6, 7, 8, 9, 10.3 to 10.9, 12 to 18).
12. Intellectual Property
12.1. The App, including all software, branding, content, the shift feed, and data compilations, is owned by or licensed to TempDash. You receive a non exclusive, non transferable, revocable licence to use the App solely for the purposes set out in these Terms.
12.2. You grant TempDash a worldwide, royalty free, sublicensable licence to use, host, store, reproduce and display content you submit to the App (for example reviews, profile content, timesheets) for the purpose of operating, promoting, and improving the service.
13. Confidentiality and Patient Data
13.1. You acknowledge that during shifts you may have access to patient personal data and special category health data. You are an independent data controller (or, where the Workplace instructs you, a joint controller) in respect of patient information. TempDash is not a controller of patient clinical data.
13.2. You must keep all patient information strictly confidential, comply with GDC Standards and the UK GDPR, and report any data incident to the Workplace and (where it concerns the App) to TempDash without undue delay.
14. Reviews, Ratings and Disputes
14.1. Ratings. After a shift, the Workplace can rate you (with stars and kudos, and by saying whether it would book you again), and you can review the Workplace. Your review of a Workplace is held back and published without your name once you or others have worked 3 more shifts there, or after 7 days, whichever comes first, so the Workplace cannot tell who wrote it. Ratings must be honest, lawful and proportionate.
14.2. TempDash may moderate, redact or remove reviews that are unlawful, defamatory, discriminatory, or in breach of these Terms.
14.3. Disputes. A Workplace can dispute a shift, including after you have been paid, for 30 days from payment (for example because you did not attend, left early or the hours were wrong). You can raise a problem with a shift through the in app support flow. TempDash reviews each dispute and aims to do so within 72 hours. We may ask either side for evidence; if a Workplace does not answer our request for evidence within 48 hours, the dispute is decided in your favour. A person at TempDash makes every decision that goes against you, and we tell you the reason. If a dispute is decided against you after you were paid, only the disputed part is recovered (clause 10.6), and you lose access to early pay for 60 days (clause 10.2B). A repeat finding or a finding of fraud can also lead to your payouts being frozen (clause 11.2). TempDash's decision is final within the App but does not stop you or the Workplace from pursuing your legal rights.
15. Changes to the Terms
15.1. We may change these Terms from time to time. Material changes will be notified through the App and/or your registered email at least fourteen (14) days before they take effect. Continued use of the App after the effective date constitutes acceptance.
16. Notices
16.1. Notices to TempDash must be sent to support@tempdash.app and copied to 124 City Rd, London EC1V 2NX. Notices to you may be sent through the App or to your registered email and are deemed received the next business day.
16.2. Call recording. Calls placed through the App, between Workers and Workplaces and with our support team, are recorded for safety, quality, dispute resolution and audit purposes, and may be retained and relied upon accordingly. You are told at the start of each call; by placing or accepting a call you consent to this. Retention is set out in the Privacy Policy.
17. Governing Law, Jurisdiction and Miscellaneous
17.1. Governing law. These Terms and any non contractual obligations arising from them are governed by the laws of England and Wales.
17.2. Jurisdiction. The courts of England and Wales have exclusive jurisdiction, save that TempDash may bring proceedings to enforce its intellectual property or anti circumvention rights in any competent court.
17.3. No waiver. A failure to enforce any provision is not a waiver of the right to do so later.
17.4. Severance. If any provision is held unenforceable, the remainder continues in force; the unenforceable provision is to be replaced with one that achieves, so far as possible, the same commercial effect.
17.5. Entire agreement. These Terms (together with the Privacy Policy and any in app policy referred to) constitute the entire agreement between you and TempDash and supersede any prior agreement.
17.6. Third party rights. Save where expressly stated, no person other than the parties has rights under the Contracts (Rights of Third Parties) Act 1999.
17.7. Assignment. You may not assign or transfer your rights without our written consent. We may assign or novate our rights and obligations on notice.
18. Acceptance and Electronic Signature
18.1. How you accept. Before your account is approved, you confirm acceptance of these Terms (together with the Privacy Policy) by typing your full legal name and tapping to agree. Typing your name and tapping "Agree & Continue" is your electronic signature and has the same legal effect as a handwritten signature (Electronic Communications Act 2000).
18.2. What we record. When you sign, TempDash records, as evidence of your agreement, your typed name, the version of these Terms you accepted, the date and time of acceptance, and the IP address from which you accepted. You consent to us creating and keeping this signature record to evidence this contract and our respective obligations.
18.3. Specific acknowledgements. By signing, you confirm in particular that you have read and agree to: clause 3 (your independent self employed status, with no employment relationship with TempDash); clauses 10.3 to 10.5 (withdrawal fees are service charges, not interest or credit); and clauses 10.6 to 10.8 (you will repay any recoverable balance arising from a dispute decided against you, by deduction from future earnings or by paying it yourself, with no interest).
18.4. Re acceptance. Where we make material changes (clause 15), we may ask you to review and electronically sign the updated Terms before you continue to use the App.
